RESUMEN:
En el proceso operativo de las empresas, en ocasiones los socios deciden reducir su capital por distintas causas, como pueden ser: la falta de liquidez del o los accionistas, el retiro voluntario del o los accionistas, diferencias de opiniones en los negocios entre los accionistas, para absorber pérdidas de ejercicios anteriores o simplemente porque algún socio o accionista decide retirar el monto total o parcial de su inversión.
El propósito del presente trabajo es identificar el tratamiento normativo, contable y fiscal del capital contable por el reembolso de acciones.
Su justificación obedece a las variables normativas y contables que la legislación mexicana tiene para el caso y aplicar la más conveniente a la sociedad en términos económicos. Por un caso específico, el método es la cuantificación de los eventos económicos y fiscales de aplicar el procedimiento correspondiente por el reembolso de acciones.
El presente tema de investigación se desarrolló por medio de un estudio de caso, que consiste en ejemplificar el reembolso de acciones de una sociedad anónima de capital variable, uno de los socios fundadores, el cual se retira voluntariamente por motivos de salud.
Se espera que pueda servir como ejemplo para las personas físicas y/o morales que se vean en un caso similar de reducción de capital por reembolso de acciones y pueda ser consultada, de esta manera se muestre todo lo que se requiere de manera integral.
ABSTRACT:
In the operating process of the companies, sometimes the partners decide to reduce their capital for different reasons, such as: the lack of liquidity of the shareholders, the voluntary retirement of the shareholders, differences of opinion in the business between the shareholders to absorb losses from previous years or simply because some partner or shareholder decides to withdraw the total or partial amount of their investment.
The purpose of this paper is to identify the regulatory, accounting and tax treatment of stockholders' equity for the redemption of shares. Its justification obeys to the normative and accounting variables that the Mexican legislation has for the case and to apply the most convenient to society in economic terms. For a specific case, the method is the quantification of economic and fiscal events to apply the corresponding procedure for the redemption of shares.
The present research topic was developed through a case study, which consists of exemplifying the reimbursement of shares of a variable capital corporation, one of the founding partners, which voluntarily withdraws due to health reasons.
It is expected that it can serve as an example for the physical and / or moral persons that are seen in a similar case of reduction of capital for reimbursement of shares and can be consulted and in this way everything that is required in a comprehensive manner is shown.
