dc.description | The separation between ownership and control in modern organizations generates conflicts, as
the managers do not always act in accordance with the interests of the propertiers. In order to
ensure that their interests be served through the maximization of their wealth, owners incur
costs of monitoring and control of management. Therefore, corporate governance emerges as
a set of internal and external mechanisms that aims to align the interests of managers and
owners and assure the rights of other stakeholders, such as employees and creditors. It is
believed that the alignment of interests affects the market value of companies. The
relationship between governance practices and the value of companies has been target of
studies throughout the world searching to contribute to the establishment of guidelines
concerning the subject. This paper aimed to collaborate with the discussions on the issue,
investigating the relation existing between better corporate governance structures, represented
by the entry into the differentiated levels of corporate governance established by the Stock
Exchange of São Paulo (BOVESPA), and the value of the Brazilian financial institutions. In
this sense and taking into account that the three differentiated levels of governance established
by BOVESPA present a growing scale of requirements, this study hypothesized that
institutions listed at level 1 (level of lower requirement) presented lower market value than
the financial companies at level 2, and these, in turn, presented lower market value than the
participating institutions of the new market (level of highest requirement). The sample was
composed of the financial companies that integrate the financial sector and insurance database
Economática, and that have acceded until the year 2009 to the differentiated levels of
governance of BOVESPA. From panel data with fixed effects for the period of 2007 to 2009,
a method of ordinary least squares (OLS) robust to heteroscedasticity was used. As the
governance variables of this study were the differentiated levels of governance of BOVESPA,
they were characterized as dummy variables. In this case, the estimation model required that
one of the variables be used as reference. Thus, the model of this research used the variable
that represents the level 1 like reference, in terms of which checks the impact of the variables
dummy level 2 and new market on the market value of financial companies in Brazil. The
results indicated that there was a statistically significant and negative relation between the
variable that represents the level 2 of governance and the market value of the analyzed
institutions. On the other hand, the variable that represented the new market did not present
statistically significant relationship with the variables of value. Thus, the theoretical assumption that the better the governance structure in Brazil, the greater the value of the
company was not confirmed. | |

medida em que gestores nem sempre agem de acordo com os interesses dos proprietários. A
fim de assegurar que seus interesses sejam atendidos por meio da maximização de sua riqueza
os proprietários incorrem em custos de monitoramento e controle da gestão. Neste contexto,
emerge a governança corporativa como conjunto de mecanismos internos e externos que tem
por objetivo o alinhamento de interesses entre gestores e proprietários e o atendimento aos
direitos de outros stakeholders, como funcionários e credores. Acredita-se que o alinhamento
de interesses afete o valor de mercado das empresas. A relação entre práticas de governança e
valor de empresas tem sido alvo de estudos em todo o mundo buscando contribuir para o
estabelecimento de diretrizes acerca do tema. Esta dissertação objetiva colaborar com as
discussões sobre o tema a partir da investigação da relação existente entre melhores estruturas
de governança corporativa, representadas pela adesão aos níveis diferenciados de governança
corporativa instituídos pela Bolsa de Valores de São Paulo (BOVESPA), e o valor das
instituições financeiras brasileiras. Neste sentido, e levando em conta que os três níveis
diferenciados de governança instituídos pela BOVESPA apresentam uma escala crescente de
exigências, este estudo partiu do pressuposto de que instituições listadas no nível 1 (nível de
menor exigência) apresentassem menor valor de mercado que as empresas financeiras do
nível 2, e estas, por sua vez, possuíssem menor valor de mercado que as instituições
participantes do novo mercado (nível de maior exigência). A amostra foi composta pelas
empresas financeiras que integram o setor financeiro e de seguros do banco de dados
Economática, e que aderiram até o ano de 2009 aos níveis diferenciados de governança da
BOVESPA. A partir de dados em painel com efeitos fixos para o período de 2007 a 2009,
empregou-se o método dos mínimos quadrados ordinários (MQO) robusto à
heteroscedasticidade. Como as variáveis de governança deste estudo constituem-se nos níveis
diferenciados de governança da BOVESPA, elas se caracterizam como variáveis dummy.
Neste caso, o modelo de estimação requer que uma das variáveis seja utilizada como
referência. Assim, o modelo desta pesquisa emprega a variável que representa o nível 1 como
referência, em termos da qual se verifica o impacto das variáveis dummy nível 2 e novo
mercado sobre o valor de mercado das empresas financeiras brasileiras. Os resultados
indicaram que há uma relação estatisticamente significativa e negativa entre a variável que
representa o nível 2 de governança e o valor de mercado das instituições analisadas. Por outro
lado, a variável que representa o novo mercado não apresentou relação estatisticamente significante com as variáveis de valor. Deste modo, não se confirmou o pressuposto teórico de
que quanto melhor a estrutura de governança no Brasil, maior o valor da empresa. | |
