Las modificaciones al régimen de las sociedades por acciones simplificadas mediante las resoluciones dictadas recientemente por la inspección general de justicia

Abstract

El eje central del presente trabajo radica en el análisis de las recientes resoluciones dictadas por la Inspección General de Justicia (en adelante, “IGJ”) y su impacto en el régimen de las Sociedades por Acciones Simplificadas (en adelante, “SAS”) previsto legislativamente. En primer lugar, se realizará una breve descripción de las particularidades que presentan las SAS en nuestro país y sus antecedentes en el derecho comparado utilizando como fuente un trabajo realizado como proyecto de asignatura. Luego, se analizarán las distintas regulaciones de la IGJ y dentro de ese marco se hará un análisis sobre la constitucionalidad de estas resoluciones y, por último, nos introduciremos en el análisis del proyecto legislativo sobre el tema que cuenta con media sanción en senadores.

The central point of this work lies in the analysis of the recent regulations issued by the General Inspection of Justice and its impact on the Regime of Simplified Stock Companies provided by law. First, we will make a brief description of the particularities that Simplified Stock Companies present in our country and their antecedents in comparative law using as source a work done as a subject project. Then, the different regulations of the General Inspection of Justice and its constitutionality will be analyzed. Finally, we will introduce ourselves in the analysis of the legislative project on the subject that has half sanction in senators.
