| dc.description | Este trabalho tem como objetivo central analisar a LC 167/2019, que dentre outros
diplomas, trouxe ao ordenamento jurídico brasileiro a figura da Empresa Simples de
Inovação, que tem por objetivo realizar mudanças socioeconômicos no país. Para tal,
também se aborda o conceito de Startups, que são o alvo principal desta nova lei e
também demais propostas legislativas que versam sobre o tema. A Empresa Simples
de Inovação terá seus processos de abertura, modificação e extinção, regidos pelo
rito sumário e simplificado do Inova Simples, que também será analisado. Objetiva-se
fazer uma análise legal do diploma normativo, e demais correlatos, de modo a
entender sua natureza jurídica, se ele terá efetiva aplicação prática, como se relaciona
com demais institutos já existentes, bem como se conseguirá sanar as necessidades
latentes das empresas inovadoras, definidas pela lei como Startups. Verificou-se, que
apesar de bem-intencionada e inovadora, a lei deixa hiatos e não consegue atingir
todos os objetivos pretendidos, esbarrando em entraves técnicos e operações do novo
regime. | |
| dc.description | The main objective of this paper is to analyze LC 167/2019, which, among other
diplomas, brought to the Brazilian legal system the figure of the Empresa Simples de
Inovação, which aims to effect socioeconomic changes in the country. To this end, the
concept of Startups is also addressed, which are the main target of this new law and
also other legislative proposals that deal with the theme. The Empresa Simples de
Inovação will have its processes of opening, modification and extinction, governed by
the summary and simplified rite of Inova Simples, which will also be analyzed. The
objective is to make a legal analysis of the normative diploma, and other correlates, in
order to understand its legal nature, if it will have effective practical application, as it
relates to other existing institutes, as well as if it will be able to solve the latent needs
of innovative companies , defined by law as Startups. It was found that, despite being
well-intentioned and innovative, the law leaves gaps and fails to achieve all the
intended objectives, coming up against technical barriers and operations of the new
regime. | |
