Governança corporativa em uma empresa familiar: estudo de caso na Atlas eletrodomésticos

Abstract

Corporate governance is the method or system by which entities, companies, or other organizations are managed through the relationship of the partners, board of directors, management and other stakeholders. The company Atlas Eletrodomésticos, is directly involved with the governance principles. Located in Pato Branco in the state of Paraná is one of the leading companies in the gas cookers market focus to the C and D classes in Brazil. The study aims to examine whether the corporate governance applied in Atlas Eletrodomésticos is lined up with the IBGC requirements and meets the organization's needs. In addition to providing knowledge about the property's structure and implementation process of a corporate governance structure in a familiar and instituted as a limited company. In this study, a qualitative research was carried out, the construction of the article was based on a case study conducted at the Atlas Appliances company and the survey of the empirical material was done through desk research and conducting interviews with a director and a board member of the organization. It was identified that when it comes to shareholders, directors and board members, the company is lined up with the code of best corporate governance practices, but there is still in lack of attending some query related to issues of supervisory agencies, control, conduct and conflict of interest, however it was verified that the governance achieves the goals of management. These results can serve as a basis for other companies apply corporate governance, even if these companies are not public and serve for the company studied improve governance implemented.
