Este estudio parte de los Contratos de Colaboración Empresarial (CCE) como género contractual de amplia utilización en la
estructuración de negocios, por su carácter flexible, casuístico, y carente de reglamentación normativa, lo que en apariencia resulta
ser apropiado para la estructuración de planeaciones fiscales; sin embargo, en el campo de la tributación internacional la respuesta
previa a algunos interrogantes es determinante para optar por la implementación de estos contratos como vehículo de planeación.
En este documento se establece si los CCE son beneficiarios de los CDI al encajarse dentro de su ámbito de aplicación subjetiva
bajo el concepto de agrupaciones de personas o si al ser consideradas entidades transparentes no son beneficiarias del CDI.
También, si la naturaleza de los aportes realizados en los contratos de colaboración empresarial (servicios, regalías, beneficios
empresariales, etc), se conservan al momento del reparto o muta el aporte al concepto de dividendos cuando se generan los
repartos. Adicionalmente, se identifica la importancia de establecer si los CCE configuran un Establecimiento Permanente (EP) o si
son los aportes de los participes al CCE los que potencialmente configuran alguno de los tipos de EP. This study starts from the Business Collaboration Contracts (CCE) as a contractual genre widely used in business structuring, due
to its flexible, casuistic nature, and lacking normative regulation, which apparently turns out to be appropriate for structuring of
fiscal planning; However, in the field of international taxation, the previous answer to some questions is decisive in opting for the
implementation of these contracts as a planning vehicle. This document establishes whether the CCEs are beneficiaries of the CDIs
as they fall within their subjective scope of application under the concept of body of persons or if, since they are considered
transparent entities, they are not beneficiaries of the CDI. Also, if the nature of the contributions made in the business collaboration
contracts (services, royalties, business benefits, etc.) are preserved at the time of distribution or the contribution is changed to the concept of dividends when the distributions are generated. Additionally, the importance of establishing if the CCEs configure a
Permanent Establishment (PE) or if it is the contributions of the participants to the CCE that potentially configure any of the types
of PEs.
