El propósito de esta investigación fue conocer los riesgos que presenta la “Ley para la Generación de Empleo” respecto a la seguridad jurídica en el proceso de constitución de sociedades mercantiles, a fin de establecer la mejor alternativa para disminuir dichos riesgos. Durante el proceso se utilizó un enfoque cualitativo y las técnicas de investigación documental y entrevistas, logrando obtener resultados sobre las Reformas al Código de Comercio, Constitución de Sociedades Mercantiles, Socialización de la ley, Seguridad Jurídica y Fe notarial, entre otros. Se concluyó que el principal efecto jurídico que se presenta con la vigencia de esta ley en relación a la constitución de sociedades mercantiles, es que la seguridad jurídica disminuye debido a la forma sorpresiva en que fue aprobada, y donde autoriza un nuevo procedimiento que ha causado poca aceptación en los sectores involucrados.The purpose of this research was to know the risks of the Law for Employment Generation to respect for the legal certainty in the process of constitution of societies commercial, in order to establish the best alternative to reduce these risks. During this process was used a qualitative focus and techniques of documentary research and interviews, achieving results on the Amendments to the Commercial Code, constitution of societies commercial, Socialization of law, Legal Certainty and Notarial Faith, among others. It was concluded that the main legal effect that occurs with the enactment of this Law relating to the constitution of societies commercial, is that legal certainty decreases due to the surprising form in which it was passed, and which authorizes a new procedure that has caused little acceptance in the sectors involved.
