Abstract

This paper analyzes the conditions that must be met in order to prosecute crimes of improper omission committed by members of a board of directors. It draws upon the starting point of the employer’s duty to act and in which circumstances the employer would be responsible for not taking the proper steps to advert crimes committed by its employees or its partners.
