Indeterminación del concepto de abuso y fraude como causales del levantamiento del velo societario.

Resumen
La ley establece que el Levantamiento del Velo Societario se realizará ante
fraudes o abusos, más no se delimita su alcance o aplicación, por lo tanto, la
norma no especifica lo que considera como fraude o abuso como causal de
esta figura, dejando al arbitrio de los administradores de justicia la
conceptualización de estos dos presupuestos y, por lo tanto, cuando es
pertinente la aplicación del levantamiento del velo. Debido a que en nuestro
ordenamiento jurídico no se precisa un concepto de fraude o abuso, no se
establece requisitos para que se configuren estas causales, no se respeta el
carácter excepcional de esta figura y no se limita su aplicación, estamos
obligados a recurrir a una interpretación sistemática de la figura del
levantamiento del velo societario, y, por lo tanto, de sus causales. Doctrinarios
como Abeliuk y Bonnecase plantean requisitos o elementos para tomar en
cuenta al momento de determinar la existencia del abuso o el fraude. Así
mismo un gran número doctrinarios coinciden en que el levantamiento del velo
societario no tiene como fin destruir el concepto de la persona jurídica,
únicamente busca reparar una injusticia y/o un daño causado por actos
realizados por los socios en nombre de la misma. The law establishes that The Lifting of the Corporate Veil will be carried out in

established for these grounds to be configured, the exceptional nature of this
figure is not respected and its application is not limited, we are obliged to resort
to a systematic interpretation of the figure of lifting the corporate veil, and,
therefore, of its causes. Doctrinaires such as Abeliuk and Bonnecase propose
requirements or elements to take into account when determining the existence
of abuse or fraud. Likewise, a large doctrinal number agrees that the lifting of
the corporate veil is not intended to destroy the concept of the legal entity, it
only seeks to repair an injustice and/or damage caused by acts carried out by
the partners on behalf of the same.
