El abuso de la minoría accionaria.

Resumen
La relación entre los accionistas que ostentan la calidad de mayoría y minoría
accionaria de una compañía ha sido un tema que a través de los años ha generado
discusión, generalmente inclinada a reconocer a los accionistas minoritarios como la
parte en desventaja; otorgándoles, en consecuencia, mecanismos de protección para
hacer valer sus derechos frente al poder decisorio de la mayoría. El problema surge
cuando la minoría accionaria antepone su interés particular frente al interés social de
la compañía, y opta por abusar de sus derechos de protección. Comportamientos
antijurídicos, como el obstruccionismo y bloqueo, terminan irrumpiendo el normal
buen funcionamiento de la sociedad, llevándola inevitablemente a un final fatídico que
desemboca en una disolución atípica. Para evitar aquello, la mayoría recurre a tomar
medidas desesperadas que incluyen la compra de las acciones a los minoritarios, con
el objetivo de terminar con el hostigamiento a la compañía que genera pérdidas
significativas tanto para la persona jurídica como para ellos en su calidad de
accionistas mayoritarios. El presente trabajo busca analizar los abusos de la minoría
accionaria que se producen al tergiversar los derechos de protección que les han sido
concedidos, para finalmente identificar los vacíos legales que la normativa societaria
presenta respecto a los límites que deberían imponérsele a los accionistas minoritarios
con el objetivo de prevenir la disrupción del funcionamiento de la compañía que afecta
principalmente al interés social por el cual ésta fue constituida. The relationship between the majority and minority shareholders of a company
has been an issue that has generated discussion over the years, generally inclined to
recognize the minority shareholders as the disadvantaged party, granting them,
consequently, protection mechanisms to enforce their rights against the decisionmaking power of the majority. The problem arises when the minority shareholder puts
its own interests before the corporate interest of the company and chooses to abuse its
rights of protection. Unlawful behaviors, such as obstructionism and blockage, end up
disrupting the normal proper functioning of the company, inevitably leading it to a
fateful end that results in an atypical dissolution. To avoid this, the majority resort to
desperate measures, including the purchase of shares from minority shareholders, to
put an end to the harassment of the company, which generates significant losses both
for the legal entity and for them as majority shareholders. The present study seeks to
analyze the abuses of the minority shareholders that occur when they misrepresent the
protection rights granted to them, so that we can ultimately identify the legal loopholes
that corporate law presents regarding the limits that should be imposed on minority
shareholders to prevent the disruption of the operation of the company that mainly
affects the corporate interest for which the company was incorporated.
