Análisis de la transformación de asociaciones en sociedades mercantiles en la Zona Registral N° IX sede

Abstract

La presente investigación se realiza en torno al vacío normativo que existe en nuestro sistema jurídico sobre la transformación de asociaciones en sociedades mercantiles; asimismo, se busca analizar el aspecto legal desarrollado por el Tribunal Registral para este supuesto, revisando la viabilidad del criterio aportado para este tipo de reorganización societaria, y en qué medida favorece al ciudadano las exigencias establecidas por dicho órgano registral. De igual manera, se revisará documentación nacional e internacional sobre el tema para que nos brinde un amplio panorama de la problemática presentada, la cual apoyaremos a través de encuestas y entrevistas para conocer la posición e interpretación particular que tienen los abogados registrales en la Zona Registral N° IX sede Lima. Finalmente, podremos determinar si la transformación de asociaciones en sociedades mercantiles requiere una normativa jurídica que las regule, y si es así, señalar aspectos que se deben considerar para que, en la práctica, su aplicación sea eficaz jurídicamente.

The present investigation is carried out around the normative gap that exists in our legal system on the transformation of associations into mercantile companies; additionally, it seeks to analyze the legal aspect developed by the Registry Court for this assumption, reviewing the viability of the criteria provided for this type of corporate reorganization, and to what extent the requirements established by said registry favor the citizen. In the same way, national and international documentation on the subject will be reviewed so that it provides us with a broad overview of the problems presented, which will be supported through surveys and interviews to know the position and particular interpretation that the lawyers have registered in the Zone Registral N° IX at Lima. Finally, we will be able to determine if the transformation of associations into mercantile companies requires a legal regulation to be regulated by, and if so, point out aspects that must be considered so that, in practice, its application is legally effective
