Resumen
En la República Argentina, la creciente actuación de sociedades constituidas en el extranjero1 (SCE) ha convertido a la temática de los actos aislados en una cuestión de sumo interés y se torna imprescindible estudiarlas críticamente con vistas a una mejora del sistema, debido a que una defectuosa legislación, deriva en la generación de grandes perjuicios, principalmente en la falta de publicidad de los actos. Se pretende ayudar a la construcción de los conocimientos enunciados a través de la confección de un modelo por el cual las SCE que realizan actos aislados en el país se ajusten a una actuación justa, igualitaria y eficaz. Todo Estado necesita reglas claras y coherentes, la ausencia de ellas genera caos y oportunismo económico. La interpretación del concepto “actos aislados” es actualmente un punto álgido de debate en la doctrina argentina. Las consecuencias de una legislación imprecisa derivan en la generación de grandes perjuicios. El tema de estudio propuesto aborda de una manera particular la problemática de las denominadas sociedades off shore, en las cuales, la simulación, el fraude a la ley, a terceros y a la jurisdicción son moneda corriente.
