Da repartição objetiva de riscos nas parcerias público-privadas: aspectos jurídicos e econômicos.

A repartição objetiva de riscos em parcerias público-privadas é aspecto fundamental para a viabilidade do projeto e para a adequada estruturação de um arranjo contratual que possa privilegiar a eficiência e o melhor aproveitamento de recursos públicos. Num primeiro momento, será analisada a noção de risco e de incertezas, a fim de precisar os seus elementos estruturantes e as etapas necessárias para a identificação, avaliação e alocação de riscos, para, ao final, redundar numa matriz de risco. No entanto, a alocação de riscos demanda a compreensão das PPPs sob o seu aspecto jurídico, quer dizer, a sua estruturação como espécie de concessão, seja na modalidade patrocinada, seja na modalidade administrativa, sendo que esta última se revela a mais polêmica sob o prisma jurídico. Demanda, ainda, o afastamento da teoria das áleas tratada pela Lei 8.666/93, incapaz de oferecer uma resposta adequada no contexto das concessões, seja em razão das disposições da Lei 11.079/04 (a determinar uma repartição objetiva de riscos, inclusive os relativos a força maior), seja por desconsiderar aspectos econômicos fundamentais para a viabilidade do contrato de PPP. Nesse contexto, e considerando a inexistência de critérios legais gerais, a análise das diretrizes de repartição objetiva de riscos em PPPs pressupõe, em primeiro lugar, a aplicação do princípio da eficiência, tendo em seu conteúdo fundamental a análise de custo-benefício, bem como a consideração de aspectos econômicos, tais como teoria da agência, externalidades, assimetria de informações e a teoria dos custos de transação. The risk allocation in public-private partnerships is a fundamental aspect for the viability of the project and for the adequate structuring of a contractual arrangement that may favor efficiency and better use of public resources. At first, the notion of risk and uncertainties will be analyzed in order to specify the structuring elements and the necessary steps for the identification, evaluation and allocation of risks, which, in the end, will result in a risk matrix. However, risk allocation demands the understanding of PPPs in terms of their legal aspect, that is, their structuring as a type of concession, either in the sponsored modality or in the administrative modality, the latter being the most controversial under the legal prism. It also demands the removal of the alea theory treated by Law 8.666 / 93, which, in the context of concessions, is unable to provide an adequate response, either because of the provisions of Law 11.079 / 04 (which determine the objective distribution of risks, including those related to force majeure), ortodisregard economic aspects fundamental to the viability of the PPP contract. In this context, and considering the lack of general legal criteria, the analysis of the guidelines for the objective distribution of risks in PPPs presupposes, firstly, the application of the efficiency principle, which has in its fundamental content the cost-benefit analysis, as well as such as the consideration of economic aspects such as agency theory, externalities, information asymmetry, and transaction cost theory.
