Abstract

The inclusion by the current “New Institutional Economics” of the company privileges the economic analysis beginning with the man and the organization, instead of the market, therefore constructing an organizational theory where the figure of the business manager and the decision making are key aspects in the economy development. In this paper, the emerge of modern company and the importance of institutions for economic performance is presented, in a way that allows the existence of a transactional structure within economies, obeying to given dynamics of learning processes in human beings, and its consequent change toward systems evolution included in a temporal structure.
