Resumen
This paper examines the legal concept of dissolution and liquidation of corporations in
Mexico, its various provisions of a legal, permitting requirements and formats be
integrated into a practical procedure relating to the subject as we know all the
companies met cycle action and operation. However, it is time to close, the closure
procedure is known as dissolution and liquidation of corporations from a legal
standpoint.
The extinction of a corporation is a legal act complex. The company acts as a legal
person distinct from its partners and relates to others, creating legal bonds that can
not be cut short at the moment of social dissolution. The security of those who
contracted with it requires that the settlement of contracts preceding the dissolution of
the-company.
With these elements it is questionable whether knowing the procedure in Mexico on
the dissolution and liquidation of corporations is relevant to shareholders, board of
directors, managers, liquidators, third parties and anyone interested in the subject
and hence, the importance of this thesis helping to facilitate the understanding of
various-legal-provisions-relating-to-the-subject-character.
Therefore the overall objective of this paper is to present legal and practical elements
to carry out the process of dissolution and liquidation trade. The type of transactional
descriptive study to collect data in a single moment that is the fiscal year 2011 has
been a literature search and data used to prepare the case study. Where the object of
study are the laws, forms and practical procedures applicable to the title under
consideration-for-business-enterprises-in-Mexico.
